Optin Distributing provides custom software development services, including mobile (iOS and Android), web, and desktop application development. The scope, timeline, and pricing for any specific project will be outlined in a separate written agreement between you and Optin Distributing.
3. Intellectual Property
Upon full payment for a completed project, you own the deliverables produced specifically for you under that project. Optin Distributing retains ownership of any pre-existing tools, frameworks, libraries, or general-purpose code that may be incorporated into your project, and grants you a non-exclusive license to use them as part of your deliverables.
4. Confidentiality
We treat all project information you share with us as confidential. We will not disclose your project details, business information, or proprietary data to third parties without your consent, except as required by law.
5. Payment
Payment terms will be specified in your project agreement. We typically require a deposit before work begins, with the remainder due upon completion or at agreed milestones. Failure to make timely payments may result in paused or terminated services.
6. Limitation of Liability
To the maximum extent permitted by law, Optin Distributing shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or any deliverables. Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim.
7. No Warranty
Our services and deliverables are provided "as is." While we strive for high quality in everything we build, we do not warrant that software will be error-free or uninterrupted. Any warranty or maintenance terms beyond initial delivery must be agreed upon in writing.
8. Governing Law
These Terms of Service are governed by the laws of the United States. Any disputes arising from or related to these terms or our services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be subject to binding arbitration.
